Shutterstock, Getty Shares Rally as DOJ Clears $3.7B Merger

Shutterstock and Getty Images stock prices surged in premarket trading Monday after the U.S. Department of Justice cleared their proposed $3.7 billion merger. The federal agency concluded its review without imposing conditions, removing a primary regulatory barrier for the creation of a visual content powerhouse.

Shutterstock shares climbed 15% to $18.45 ahead of the opening bell, while Getty Images saw a 33% jump to 99 cents. The rally followed confirmation that the mandatory waiting period under the Hart-Scott-Rodino Act has expired. This federal clearance allows the "merger of equals," first announced in January 2023, to move forward in the United States without structural changes.

The combined entity expects to capture significant synergies by streamlining selling, general, and administrative costs. According to company filings, the integration will also target efficiencies in capital expenses. While Shutterstock stockholders have already approved the adoption of the merger agreement, the companies must still resolve outstanding concerns in international markets to finalize the deal.

UK Regulatory Scrutiny Persists

The Competition and Markets Authority (CMA) in the United Kingdom remains the final major obstacle for the transaction. Last week, the British regulator signaled that the merger could dampen competition for the supply of editorial content within the country. Getty and Shutterstock are currently engaged in active discussions with the watchdog to address these concerns.

The CMA has until April 19 to complete its investigation and issue a final ruling. Until then, the full global consolidation of the two largest names in stock photography remains on hold despite the favorable outcome in Washington.
